Agreement to Terms
These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and Muhammad Usama, operating as Usama Growth and as Digital Marketing Manager at Restorise Business Solutions ("we," "us," or "our").
These Terms govern your access to and use of our website (usamagrowth.com) and any services we provide, including but not limited to:
Digital marketing services (Meta Ads, Google Ads, TikTok Ads)
POS systems integration and management (Toast, Clover, Square, etc.)
Event marketing and ticketing optimization (MegaTix, Eventbrite, etc.)
Social media management and content creation
Branding and creative services
Business consulting and growth strategy
BY ACCESSING OUR WEBSITE OR USING OUR SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS.
If you do not agree with any part of these Terms, you must not use our website or services.
Services Provided
1. Digital Marketing Services
We provide professional digital marketing services including:
Meta Advertising: Facebook and Instagram ad campaign creation, management, and optimization
Google Advertising: Search, Display, YouTube, and Performance Max campaigns
TikTok Advertising: Short-form video ad campaigns and influencer partnerships
Campaign Strategy: Audience research, targeting, creative development, and A/B testing
Performance Optimization: Ongoing monitoring, adjustments, and scaling of campaigns
2. Delivery Platform Management
We optimize your presence on major food delivery platforms:
Menu structuring and pricing optimization for maximum profitability
Platform algorithm optimization for increased visibility
Multi-platform management (UberEats, DoorDash, Grubhub, Deliveroo, Just Eat, Zomato, Talabat, Foodpanda, GrabFood, and others)
Commission strategy and cost management
Order fulfillment optimization
3. POS Systems Integration
We help integrate and optimize point-of-sale systems including:
Toast, Clover, Square, Lightspeed, NCR, Revel, Owner.com, and other systems
Menu and revenue structuring within POS
Platform integration for seamless operations
Multi-location management and reporting
Data analytics and business intelligence setup
4. Event Marketing & Ticketing
We develop and execute event marketing strategies including:
MegaTix platform optimization and campaign management
Eventbrite, Ticketmaster integration and promotion
Event advertising campaigns across Meta and Google
Reservation system integration (OpenTable, Resy, SevenRooms)
Ticket pricing strategy and promotional campaigns
5. Additional Services
Social media management and content creation
Branding and graphic design
Website development and optimization
Business consulting and growth strategy
Performance reporting and analytics
Service Scope: The specific services provided will be outlined in your service agreement, proposal, or statement of work. Services may be provided on an hourly basis, project basis, or monthly retainer as agreed upon.
Client Responsibilities
As a client, you agree to:
1. Account Access & Permissions
Provide timely access to necessary advertising accounts, business platforms, and systems
Grant appropriate admin or editor permissions for Meta Business Manager, Google Ads, delivery platforms, POS systems, and other required platforms
Ensure access credentials are accurate and maintained throughout the service period
Notify us immediately of any changes to account access or security concerns
2. Information & Materials
Provide accurate, complete, and timely information about your business
Supply necessary materials including logos, photos, menu items, pricing, and promotional content
Respond to requests for information or approvals within reasonable timeframes
Ensure all provided materials comply with applicable laws and platform policies
3. Budget & Payment
Maintain sufficient advertising budget in your ad accounts (separate from our service fees)
Pay invoices according to agreed payment terms
Notify us of any budget changes or constraints
Understand that advertising costs are direct charges from platforms (Meta, Google) and separate from our service fees
4. Communication & Cooperation
Maintain open and timely communication
Provide feedback and approvals as requested
Participate in scheduled strategy calls and meetings
Review and respond to reports and recommendations
5. Compliance & Legal
Ensure your business operations comply with all applicable laws and regulations
Maintain necessary licenses and permits for your business
Comply with platform terms of service (Meta, Google, delivery platforms, etc.)
Not request or engage in any activities that violate platform policies or laws
Payment Terms
1. Service Fees
Service fees are determined based on:
Hourly Rate: $35/hour for consulting, audits, and project-based work
Monthly Retainer: Custom pricing based on scope, typically starting at $2,000/month for single-location businesses
Project-Based: Fixed fees for specific deliverables as outlined in proposals
2. Payment Schedule
Hourly Services: Invoiced weekly or bi-weekly; payment due within 7 days
Monthly Retainers: Payment due on the 1st of each month in advance
Project-Based: Payment schedule as outlined in project agreement (typically 50% upfront, 50% upon completion)
New Clients: May require initial payment or deposit before work begins
3. Advertising Costs
Important: Our service fees are separate from advertising costs. You are responsible for:
All advertising spend on Meta, Google, TikTok, and other platforms
Platform fees, commissions, and transaction costs
Maintaining active payment methods in your advertising accounts
Any platform-imposed minimum spends or requirements
4. Payment Methods
We accept payment via:
Bank transfer (wire transfer)
PayPal
Wise (TransferWise)
Other payment platforms as mutually agreed
5. Late Payments
Late payments may incur a fee of 2% per month (24% annually) or the maximum allowed by law
Services may be suspended for accounts more than 15 days overdue
Client is responsible for all collection costs, including legal fees
6. Refunds
Hourly Services: Billed only for actual time worked; no refunds for completed hours
Monthly Retainers: Typically non-refundable once the service month begins
Project-Based: Refund policy outlined in specific project agreement
Advertising spend is non-refundable as it's paid directly to platforms
Performance & Results
No Guarantee of Results
While we employ proven strategies and best practices, we cannot and do not guarantee specific results, revenue increases, return on ad spend (ROAS), or other performance metrics.
Digital marketing and business growth are influenced by numerous factors outside our control, including:
Market conditions and competition
Seasonal fluctuations and economic factors
Product/service quality and pricing
Customer service and operational efficiency
Platform algorithm changes and policy updates
Ad account quality and historical performance
Budget limitations and spending constraints

Intellectual Property
1. Client Materials
You retain all rights to materials you provide, including:
Logos, trademarks, and brand assets
Product photos and descriptions
Menu items and pricing information
Existing marketing materials
By providing these materials, you grant us a license to use them solely for providing services to you.
2. Our Work Product
Upon full payment, you receive ownership of:
Ad creatives and copy developed specifically for your campaigns
Custom graphics and designs created for your business
Campaign structures and strategies implemented in your accounts
3. Our Proprietary Methods
We retain ownership of:
Our proprietary processes, methodologies, and frameworks
Templates, tools, and internal resources
General strategies and approaches
Knowledge and expertise
4. Portfolio Rights
We reserve the right to:
Include your business as a client reference (with permission)
Display non-confidential campaign results in our portfolio
Share anonymized case studies and performance data
We will request specific permission before using your brand name or identifiable information publicly.
Confidentiality
We take confidentiality seriously and commit to protecting your sensitive business information.
Confidential Information Includes:
Business strategies and plans
Financial data and performance metrics
Customer data and analytics
Proprietary processes and recipes
Pricing strategies and margins
Unreleased products or services
Our Obligations:
Maintain strict confidentiality of your business information
Use information only for providing agreed services
Implement reasonable security measures
Restrict access to information on a need-to-know basis
Permitted Disclosures:
We may disclose confidential information when:
Required by law or legal process
Necessary to enforce our rights
You provide explicit written consent
Term & Termination
1. Service Term
Hourly Services: Continue until project completion or mutual agreement to stop
Monthly Retainers: Month-to-month unless otherwise specified in agreement
Fixed Projects: As specified in project agreement
2. Termination by Client
You may terminate services by:
Providing 30 days written notice for monthly retainers
Immediate termination for project-based work (subject to payment for completed work)
Paying for all services rendered through the termination date
Completing any outstanding payments within 15 days
3. Termination by Us
We may terminate services if:
You breach these Terms or our agreement
You fail to provide necessary access or information
Payment is more than 30 days overdue
You engage in abusive, threatening, or inappropriate behavior
Your account or campaigns violate platform policies
We determine the relationship is no longer mutually beneficial
4. Effects of Termination
Upon termination:
All outstanding invoices become immediately due
We will provide reasonable transition assistance
You retain ownership of completed work (upon full payment)
We will remove our access from your accounts
Confidentiality obligations continue indefinitely
5. Campaign Transitions
For advertising campaigns:
Campaigns remain in your accounts (you retain ownership)
We provide documentation of campaign structures and strategies
We offer reasonable support during transition period
Platform relationships and ad account status remain yours
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO OUR SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 3 MONTHS PRECEDING THE CLAIM.
Exclusions
We are not liable for:
Indirect Damages: Lost profits, lost revenue, lost business opportunities, or consequential damages
Platform Issues: Ad account suspensions, policy violations, algorithm changes, or platform downtime
Third-Party Actions: Actions by Meta, Google, delivery platforms, or other third parties
Client Decisions: Results of decisions you make against our recommendations
External Factors: Market conditions, competition, economic changes, or force majeure events
Data Loss: Losses resulting from platform data retention policies or system failures
Your Acknowledgment
You acknowledge that:
Digital marketing involves inherent risks and uncertainties
Platform policies and algorithms can change without notice
Results depend on factors outside our control
You are responsible for final business decisions
Indemnification
You agree to indemnify, defend, and hold harmless Muhammad Usama, Usama Growth, and Restorise Business Solutions from any claims, damages, losses, or expenses (including legal fees) arising from:
Your breach of these Terms
Your violation of any laws or regulations
Your violation of platform terms of service
Content or materials you provide to us
Your products, services, or business operations
Any false or misleading information you provide
Your infringement of third-party intellectual property rights
Dispute Resolution
1. Informal Resolution
Before initiating formal proceedings, we agree to attempt informal resolution by:
Providing written notice of the dispute
Engaging in good-faith negotiations for 30 days
Considering mediation if direct negotiation fails
2. Governing Law
These Terms are governed by the laws of:
The jurisdiction where services are primarily performed
Or as specified in your service agreement
Without regard to conflict of law principles
3. Arbitration
For disputes not resolved informally:
Binding arbitration may be required as specified in service agreements
Arbitration conducted in English language
Each party bears own costs unless otherwise awarded
Changes to These Terms
We reserve the right to modify these Terms at any time. When we make changes:

We will notify active clients via email
Material changes will be highlighted
Continued use of services constitutes acceptance of new terms
For existing service agreements, changes will apply upon renewal unless otherwise specified.
General Provisions
1. Entire Agreement
These Terms, together with any service agreement or proposal, constitute the entire agreement between parties.
2. Severability
If any provision is found unenforceable, the remaining provisions continue in full force.
3. Waiver
Failure to enforce any right or provision does not constitute a waiver of future enforcement.
4. Assignment
You may not assign your rights or obligations without our written consent. We may assign to affiliates or successors.
5. Force Majeure
Neither party is liable for delays or failures due to circumstances beyond reasonable control.
6. Independent Contractors
We are independent contractors. Nothing creates a partnership, joint venture, or employment relationship.
7. Survival
Provisions regarding payment, confidentiality, intellectual property, and liability survive termination.
